Terms of Service

1. Acceptance of Terms
By accessing or using Cyphrex ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Cyphrex, Inc. ("Cyphrex," "we," "us," or "our").
2. Description of Service
Cyphrex provides AI agent security and identity infrastructure, including:
- Agent identity verification and registration
- Optional Blockchain SSN: cryptographically verifiable on-chain agent identity on Solana (self-custody only), subject to the custody and limitation terms in these Terms and linked policies
- Behavior profile enforcement and safety packages
- Real-time action monitoring and audit logging
- Detection of known injection patterns, including encoded and obfuscated variants
- Upstream server validation and tool list blocking, which prevent unauthorized MCP requests from being sent
- Spending tracking and budget enforcement
- Alert systems for violations and anomalies
- Compliance reporting and export capabilities
3. Account Registration and Eligibility
To use Cyphrex, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Not create accounts through automated means
- Not share your account with others
- Notify us immediately of unauthorized access
You are responsible for all activities under your account, whether or not authorized by you.
4. API Keys and Security
When using Cyphrex:
- Keep your API keys confidential and secure
- Do not expose API keys in client-side code or public repositories
- Rotate keys immediately if compromised
- Use environment variables or secure key management systems
- Follow the principle of least privilege when assigning keys
You are responsible for all usage under your API keys. Cyphrex is not liable for unauthorized use resulting from your failure to secure your keys.
5. Acceptable Use Policy
You agree NOT to use Cyphrex to:
- Monitor AI agents engaged in illegal activities
- Violate any laws, regulations, or third-party rights
- Circumvent or disable security features
- Reverse engineer, decompile, or disassemble the Service
- Interfere with or disrupt the Service or servers
- Use the Service to compete with Cyphrex
- Resell or redistribute the Service without authorization
- Generate excessive load through automated queries (rate limits apply)

6. Monitoring Scope and Responsibility
IMPORTANT: Cyphrex monitors and logs agent actions. Cyphrex does NOT control your agents.
- You are solely responsible for your agents' actions and outputs
- Cyphrex provides observability and enforcement tools, not liability coverage
- You must comply with all applicable laws governing AI systems
- You are responsible for configuring appropriate behavior profiles
- Cyphrex's detection systems are not infallible; false positives and negatives may occur
- You must independently verify compliance with your regulatory requirements
7. Subscription Plans and Billing
Plans
- Sandbox: 30 days, 3 agents, 25,000 enforced actions, 30-day logs, every enforcement gate active. No credit card.
- Core: $42,000 per year, billed annually, 25 agents under governance, 5M enforced actions per year, 1 year log retention, one vertical framework pack, unlimited evidence packages, hourly Merkle anchoring to Solana, blockchain SSN with gas covered, Ed25519 signed exports, email and webhook alerting, direct founder access. Onboarded directly. No checkout.
- Scale: $90,000 per year, billed annually, 100 agents under governance, 25M enforced actions per year, 3 year log retention, all four vertical framework packs, five minute anchoring for medium stakes actions, named DPA terms and signed BAA, quarterly compliance review call. Includes everything in Core.
- Enterprise: From $180,000 per year, priced per agent under governance. Includes everything in Scale, plus real time on chain authorization for high stakes actions, retention beyond three years, bring your own storage and region, bring your own encryption key, custom framework mapping, SSO and team management, named SLA and dedicated onboarding, annual invoice and custom terms.
Design partner arrangements are governed by a separate written agreement.
Billing
- Paid plans are annual contracts, onboarded directly, with no self-serve checkout
- All fees are in USD and non-refundable except as required by law
- We may change pricing with 30 days' notice to existing customers
- Usage beyond plan limits may result in overage charges or throttling
- Failed payments may result in service suspension
Cancellation
You may cancel at any time. Cancellation takes effect at the end of the current annual term. No refunds for unused time except as required by law.
8. Service Level and Uptime
We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for:
- Scheduled maintenance (announced in advance)
- Third-party service outages (Supabase, Railway, Solana network, etc.)
- Force majeure events beyond our control
- Downtime caused by your actions or misuse
Enterprise customers may purchase an SLA with uptime guarantees and credits for downtime.
9. Intellectual Property
Cyphrex IP
Cyphrex retains all rights to the Service, including software, algorithms, documentation, trademarks, and brand assets. You receive a limited, non-exclusive, non-transferable license to use the Service according to these Terms.
Your Data
You retain ownership of your agent data, audit logs, and behavior profiles. By using Cyphrex, you grant us a license to process this data to provide the Service.
Feedback
If you provide feedback or suggestions, we may use them without obligation or compensation to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
- WE ARE NOT LIABLE FOR YOUR AGENTS' ACTIONS, OUTPUTS, OR VIOLATIONS
- WE ARE NOT LIABLE FOR DATA LOSS (maintain your own backups)
- WE ARE NOT LIABLE FOR SECURITY BREACHES CAUSED BY YOUR NEGLIGENCE
Blockchain identity services
Blockchain SSN features are provided "as-is" without warranty. Cyphrex is not a fiduciary, financial institution, money transmitter, or custodian of cryptocurrency or tokens. To the maximum extent permitted by law, Cyphrex shall not be liable for lost or stolen private keys, blockchain network failures, irreversible transactions, smart contract vulnerabilities, loss of access to blockchain identities, or damages arising from blockchain features. Your maximum remedy for claims relating solely to Blockchain SSN paid features is limited to fees you paid for those features in the 12 months before the claim.
Compliance reports and signed evidence packages
Compliance reports exported from Cyphrex are cryptographically signed evidence packages generated from your agent audit data. They are not certified audit opinions, legal certifications, or regulatory approvals. Cyphrex makes no representation that any compliance report satisfies the requirements of any specific auditor, regulator, or certification body. You are solely responsible for determining whether Cyphrex evidence packages meet your regulatory obligations.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold Cyphrex harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your agents' actions or outputs
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your failure to secure your API keys
12. Termination
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use Policy
- Fail to pay fees
- Engage in fraudulent or illegal activity
- Pose a security risk to the Service or other users
Upon termination, you lose access to the Service and your data. You may export your data before termination. We retain data according to our Privacy Policy.
13. Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Arbitration
Any dispute shall be resolved by binding arbitration under the American Arbitration Association rules, except:
- Small claims court actions (under $10,000)
- Injunctive relief for IP violations
Class Action Waiver
You agree to resolve disputes individually. You waive the right to participate in class actions, collective actions, or representative proceedings.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or dashboard notice 30 days in advance. Continued use after changes constitutes acceptance. If you do not agree, you must stop using the Service and cancel your account.
15. Miscellaneous
- Entire Agreement: These Terms constitute the entire agreement between you and Cyphrex
- Severability: If any provision is invalid, the rest remains in effect
- No Waiver: Failure to enforce a right does not waive that right
- Assignment: You may not assign these Terms; we may assign to affiliates or acquirers
- Export Compliance: You must comply with US export laws
- Force Majeure: We are not liable for delays due to events beyond our control
Blockchain SSN (self-custody)
All Blockchain SSN registrations use self-custody. You own and control your agent's private keys and wallet. Cyphrex never holds, accesses, or manages private keys. Cyphrex may cover Solana gas fees on paid plans as a convenience. Blockchain transactions are irreversible. Cyphrex is not responsible for lost wallet access, network failures, or irreversible transactions.
